ASSOCIATIONS INCORPORATION ACT 2009 (NSW)CONSTITUTIONLONG REEF SURF LIFE SAVING CLUB INCORPORATED1. NAMEThe name of the club is Long Reef Surf Life Saving Club Incorporated(LRSLSC).2. DEFINITIONS AND INTERPRETATIONS2.1 DEFINITIONSIn this constitution unless the contrary intention appears:“Act” means the Associations Incorporations Act 2009 (NSW)“Board of Management” means the body managing Long Reef SLSC and consistingof the directors as listed below.“Board of Management Meeting” means a meeting of the board.“Constitution” means this Constitution of the Association“Council” means the Council of Warringah, or such other local government bodyhaving jurisdiction over Long Reef Beach at that time.“Director” means a Member of the Board and includes any person acting in thatcapacity from time to time appointed in accordance with this Constitution but doesnot include the Executive Director.“Director of Finance and Administration” means the person elected/appointed tothat role by the Members in accordance with this Constitution.“Director of Lifesaving” means the person elected/appointed to that role by theMembers in accordance with this Constitution.“Director of Education” means the person elected/appointed to that role by theMembers in accordance with this Constitution.

“Director of Surf Sports” means the person elected/appointed to that role by theMembers in accordance with this Constitution.“Director of Youth” means the person elected/appointed to that role by theMembers in accordance with this Constitution.“Director of Marketing and Sponsorship” means the person elected/appointed tothat role by the Members in accordance with this Constitution.“General Meeting” means the annual or any special general meeting of LRSLSC.“Intellectual Property” means all rights subsisting in copyright, business name,names, trade marks (or signs), logos, designs, equipment including computersoftware, images (including photographs, videos or films) or service marks relating toLRSLSC or any activity of or conducted, promoted or administered by LRSLSC inNew South Wales.“Judiciary Committee” means a committee established by LRSLSC underConstitution.this“Local Area” means the geographical area for which LRSLSC is responsible asrecognised by the SLSSNB and/or SLSNSW of which LRSLSC is a Member.“Member” means a Member of LRSLSC for the time being under clause 7.“Objects” mean the Objects of LRSLSC in clause 4.“President” means the person elected/appointed to that role by the Members inaccordance with this Constitution.“Public Officer” means the person appointed to be the public officer of theAssociations in accordance with the Act.“Register” means a register of Members kept and maintained in accordance withclause 9.“SLSA” means Surf Life Saving Australia Limited and associated companies.“SLSA Regulation” means any regulations made by SLSA from time to time.“SLSSNB” means Surf Life Saving Sydney Northern Beaches Incorporated.“Special Resolution” means a resolution passed at any Board of Managementmeeting, at which a quorum is present, and passed by at least three quarters ofthose members present and entitled to vote, and of which not less than twenty-one(21) days notice specifying the intention to propose the resolution as a specialresolution was given in accordance with this Constitution.2.2 INTERPRETATIONIn this Constitution:

(a) a reference to a function includes a reference to a power, authority andduty;(b) a reference to the exercise of a function includes, where the function is apower, authority or duty, a reference to the exercise of the poweror authority of the performance of the duty;(c) words importing the singular include the plural and viceversa;(d) words importing any gender includes the other genders;(e) references to persons include corporations and bodiespolitic;(f) tatives, successors and permitted assigns of that person;(g) a reference to a statute, ordinance, code or other law includesRegulations and other statutory instruments under it and consolidations,amendments, re-enactments or replacements of any of them (whetherof the same or any legislative authority having jurisdiction); and(h) a reference to ‘writing’ shall unless the contrary intention appears,be construed as including references to printing, lithography,photography and other modes of representing or reproducing words in avisible form, including messages sent by electronic mail.2.3. SEVERANCEIf any of the provisions of this Constitution or any phrase contained in itis invalid or unenforceable, the phrase or provision is to be readdown if possible, so as to be valid and enforceable, and otherwiseshall be severed to the extent of the invalidity or unenforceability,without affecting the remaining provisions of this Constitution.2.4. THE ACTExcept where the contrary intention appears, in this Constitution,an expression that deals with a matter under the Act has the samemeaning as that provision of the Act. Model rules under the Act areexpressly displaced by this Constitution.3. AFFILIATIONLRSLSC shall be affiliated with Surf Life Saving Sydney NorthernBeaches Inc, and through SLSSNB Surf Life Saving New SouthWales Inc and Surf Life Saving Australia Limited.4. OBJECTS OF LRSLSC44

LRSLSC is a charitable community service based association. Theobjects for which the association is established are:(a) to provide Surf Life Saving patrols and promoting a safe marine,beach and aquatic environment for the community and all beachusers.(b) to conduct, encourage, promote, advance and administer LRSLSCthroughout the local area;(c) act, at all times, on behalf of and in the interests of the Members andLRSLSC in the local area;(d) liaise with SLSA, SLSNSW and/or SLSSNB of which LRSLSC is affiliatedand adopt their rules and policy frameworks to further these Objects;(e) abide by, and make known, enforce and secure uniformity in theapplication of the rules of LRSLSC as may be determined from time totime by SLSSNB and as may be necessary for the management andcontrol of LRSLSC and related activities in New South Wales; and(f) to encourage, foster and promote a healthy environment and atmosphereamongst the membership that brings a spirit of comradeship and goodcitizenship in the best interests of the public.5. POWERS OF LRSLSC(a) Solely for furthering the Objects, LRSLSC, has in addition to the rights,powers and privileges conferred on it under section 25 of the Act, thelegal capacity and powers of a company as set out under section 124 ofthe Corporations Act 2001 (Cth).(b) Appoint, hire, employ, remove, replace a person/s for the purpose ofcarrying out the objects of LRSLSC and to pay them in return for servicesrendered to LRSLSC, salaries, wages and gratuities.6. LONG REEF SLSC COLOURS AND UNIFORM(a) LRSLSC colours shall be navy blue and white.(b) LRSLSC competition cap shall be registered with SLSA and be a whitecap with four navy blue stripes.(c) LRSLSC carnival costume, team uniform and badges shall be of a designas approved by the board.(d) LRSLSC blazer shall be a Navy blue single breasted 2 button blazer withthe full logo of LRSLSC as the design on the pocket, along withappropriate wording denoting award and year of award. The blazer mayonly be worn by Distinguished Service Award holders and Life Membersof LRSLSC, or persons awarded Best Club Member, a NSW orAustralian Award at the Awards of Excellence, Australian55

Championships or SNB Lifesaver or Volunteer of the Year.7. MEMBERSThe members of LRSLSC shall have the following categories ofmembership as defined in the current version of SLSA manual:(a) Active;(b) Active Reserve;(c) Associate;(d) Award;(e) Life Member;(f) Junior;(g) Cadet;(h) Long Service;(i) Honorary;(j) General7.1. CLASSIFICATIONS OF MEMBERS(a) Life Members(i) Life members shall be those members who have rendereddistinguished service to the Club.(ii) Nominations for Life Membership will be referred to a specialCommittee constituted for that purpose who will verify the nomineesqualifications and submit the application along with theirrecommendation to the Annual General Meeting.(iii) Voting at the Annual General Meeting shall be by secret ballot,and for election to Life Membership a nominee must secure a twothirds majority of the vote.(iv) The Life Membership Committee shall consist of the Club President,three (3) Life Members and one (1) Active Club member.(v) All nominations for Life Membership must be submitted in writingprior to June 30th in the year for consideration, and must include alist of the nominee’s record with the Club.(vi) Life members shall have all the rights and privileges of Activemembers without payment of any subscription and they shall be66

exempt from all duties and obligations of Active members.(b) Distinguished Service Members(i) Distinguished Service Members shall be those members whohave rendered distinguished service to the Club for an extendedperiod typically greater than 10 years.(ii) Nominations for Distinguished Service Membership will be referredto a special Committee constituted for that purpose who willverify the nominees qualifications and submit the application alongwith their recommendation to the Annual General Meeting.(iii) Voting at the Annual General Meeting shall be by secret ballot, andfor election to Distinguished Service Membership a nominee mustsecure a two-thirds majority of the vote.(iv) The Distinguished Service Membership Committee shall consist ofthe Club President, three (3) Life Members and one (1) Active Clubmember.(v) All nominations for Distinguished Service Membership must besubmitted in writing prior to June 30th in the year for consideration,and must include a list of the nominee’s record with the Club.(vi) Distinguished Service members shall have all the rights andprivileges of Active members without payment of any subscriptionand they shall be exempt from all duties and obligations of Activemembers.(c) Long Serving Members(i) Long Serving Members shall consist of members who havecompleted ten years active service, or eight years active service plusfour years active reserve service in a surf life saving club from thedate of obtaining the Surf Life Saving Bronze Medallion or SurfRescue Certificate of which five (5) years active service shall havebeen served with the Club. Such five years active service need notbe consecutive. Active service embodies Under 16, probationary andactive membership.In other exceptional circumstances, Long Serving Membership maybe granted to an Active Senior member notwithstanding thenon- compliance with any of the forgoing provisions.The foregoing provisions do not automatically confer Long ServingMembership on any member but only entitle such member to applyto the Management Committee for transfer to the Long Servingmember list of members.(ii) Long Serving members shall have all the rights and privileges of anactive member and shall be exempt from all duties and obligations ofactive members (except the payment of an annual subscription) as77

required by the regulations unless the Captain or his deputyotherwise directs. Notwithstanding anything contained in theseclauses or regulations made thereunder such Long Servingmembers as aforesaid shall be subject to the same rules of disciplineas Active members.(iii) Application for transfer to the Long Serving Membership list must bemade to the Management Committee and be approved by a twothirds majority of the Management Committee voting at a meetingthereof when such application is considered.(iv) Notice of any application for transfer to the Long ServingMembership list must be given to each member on the ManagementCommittee on the Agenda calling the meeting at which suchapplication is to be considered.(v) Any applicant for Long Serving membership shall be the holder of anAdvanced Resuscitation Techniques Certificate.(d) Active Reserve Members(i) Active Reserve members shall consist of members who havecompleted ten years active service in a surf life saving club from thedate of obtaining the Surf Life Saving Australia Bronze medallion orSurf Rescue Certificate of which five years active service shall havebeen served with the Club. Such five years active service need notbe consecutive. Active service embodies Under 16, Probationaryand Active membership.In other exceptional circumstances, Active Reserve membershipmay be granted to an active senior member notwithstanding the noncompliance with any of the foregoing provisions.The foregoing provisions do not automatically confer Active Reservemembership on any member but only entitle such member to applyto the Management Committee for transfer to the Active ReserveMember list of members.(ii) Active Reserve members shall have all the rights and privileges ofan active member and shall be exempt from all duties andobligations of active members (except the payment of an annualsubscription) as required by the regulations unless the Captain orhis deputy otherwise directs. Notwithstanding anything containedin these clauses or regulations made thereunder such ActiveReserve members as aforesaid shall be subject to the same rules ofdiscipline as active members.(iii) Application for transfer to the Active Reserve Membership list mustbe made to the Management Committee and be approved by a twothirds majority of the Management Committee voting at a meetingthereof when such application is considered.(iv) Notice of any application for transfer to the Active ReserveMembership list must be given to each member on the Management88
